Corporate Governance
In Iran’s Private Business Sector

At Roma, we are focused on the development of organizations—specifically those in the private sector. Our assumption is that in the realm of private business, logic, effectiveness, profitability, and impact should dominate decision-making. Aside from environmental and contextual factors, there should be no overarching constraint preventing the adoption of such principles. Unlike public sector organizations, where political considerations or relational expediencies may influence decisions—sometimes even leading to the implementation of suboptimal choices—the expectation in private enterprises is quite the opposite.

We also firmly believe that an organization begins with its culture. Without an effective culture, everything else can be undermined. Culture originates from leadership, and true leadership begins with self-awareness. One major challenge that many leaders face—often without even realizing the root of the problem—is the selection of a governance model. This is both a mindset and a practice issue.

We sometimes observe contradictions between what leaders say and what they do. When deep belief and commitment to certain principles are lacking—whether consciously or unconsciously—the leader may unintentionally become the main obstacle to their own stated vision. Their choices in team structure and decision-making further fuel this contradiction.

A fundamental question arises:
Do leaders truly explore, study, and consult on the various governance models—traditional or innovative—suitable for their organizations? Or do they simply adopt familiar and conventional frameworks without reflection?
More importantly, once the organization matures and reaches a relative level of stability, do leaders revisit and re-evaluate whether their initial governance model still serves the organization well? Do they actively think about, consult on, or initiate changes when needed?

What is the role of other senior managers in shaping and optimizing organizational structure? What about those closer to operational execution? Is governance just a top-down model that designs procedures, processes, manuals, and hundreds of forms, all centered around a centralized power structure?
Is bureaucracy a tool for effectiveness—or has it become an end in itself?

Given the fast-paced and disruptive changes in the external environment, can one static model of governance truly be sufficient? When faced with increasing variables and complex challenges, do we merely look for quick solutions—or do we strive to deeply understand the root of the problems? This includes reflecting on internal factors like decision-making processes, defined procedures, and organizational structure that may be contributing to inefficiencies.

From our perspective, addressing the concept of Corporate Governance—developing a deeper understanding of it, revisiting its application, and, when necessary, having the courage to change—is an essential part of true leadership and organizational development in today’s companies.

We invite you to join us in listening, reflecting, and engaging with experts and thought leaders. In the Seventh Bridge Event, we will delve into corporate governance from multiple dimensions. Staying true to our belief that understanding the full scope of a problem is the key to solving it, we do not aim to prescribe specific solutions to our audience. Rather, we aim to explore the issue in depth so that participants can, with proper insight and consultation, discover the most suitable solution for their own organizations.
